These terms apply when you use this website and when you engage ZilFox Technologies Pvt Ltd for work. Where we have signed a separate proposal, quotation or agreement with you, that document takes priority over anything written here.

1. About these terms
ZilFox Technologies Pvt Ltd ("ZilFox", "we", "us") is a company registered in Nepal with its registered office at 29, Ghattekulo Marga, Kathmandu 44600, Nepal. By browsing this website, sending an enquiry, or accepting a quotation from us, you agree to these terms.
2. What we do
We build custom software — ERP platforms, CRM systems, booking engines, e-commerce stores, internal dashboards and websites — and we run the search engine optimisation, Google and Meta advertising, social media and content work that brings customers to them. The services you are buying are the ones named in your quotation, not everything listed on this website.
3. Quotes, scope and changes
Custom software and web application projects are quoted individually after we understand what you need. A quotation covers the scope described in it, and is valid for 30 days unless it says otherwise.
Work is not open-ended. If you ask for something outside the agreed scope — extra modules, redesigns after approval, new integrations — we will tell you before starting and quote for it separately. We would rather have that conversation than silently absorb the work or silently drop it.
4. Fees and payment
- All prices are quoted in Nepalese Rupees (NPR) unless your quotation states another currency.
- Project work normally starts on an advance payment, with the balance due at the milestones set out in your quotation.
- Monthly services — SEO, ads management, social media, maintenance — are billed monthly in advance.
- Advertising budget is not our fee. You pay Google, Meta or any other platform directly for ad spend. What you pay us is the management fee, and we take no cut of your ad budget.
- Third-party costs such as domains, hosting, licences, premium plugins, stock assets and paid tools are yours, and are either billed at cost or bought in your own name.
- We do not add fees you have not been told about.
If an invoice stays unpaid, we may pause work and withhold delivery of files or account access until it is settled.
5. Refunds
Our work is time, research and expertise spent from day one, so we do not offer refunds on marketing or website services once work has begun. What we do offer is a clear scope up front and honest reporting throughout — and if we are not the right fit for your project, we will say so before you pay us anything.
6. What we need from you
Projects stall for predictable reasons. To avoid them, you agree to give us:
- content, brand assets and information in reasonable time;
- the access we need — hosting, domain, ad accounts, analytics, existing systems;
- a single point of contact who can approve work and give feedback;
- confirmation that you hold the rights to any material you send us.
You are responsible for the legality and accuracy of the content and claims you ask us to publish or advertise.
7. Timelines
Any timeline we give is an estimate based on the agreed scope and on feedback arriving when we ask for it. Delays in approvals, content or access move the delivery date, and so do changes in scope. We will tell you when something has shifted rather than let a date quietly pass.
8. Who owns the work
Once a project is paid in full, you own it — the website, the design, the source code we wrote for you, and the domain. We hand over the files and the access.
Two things stay ours: our own internal tools, libraries and frameworks that pre-date your project or are reused across clients, and any third-party components that carry their own licences (those pass to you on the terms of whoever made them).
Unless you ask us not to, we may name you as a client and show the work in our portfolio.
9. What we can and cannot promise
We do not control Google, Meta or any other platform, and neither does anyone who tells you otherwise. So:
- We do not guarantee a #1 ranking, a specific position, a fixed number of leads, or a particular return on ad spend.
- We do guarantee that the work is done properly: safe, current techniques, no spam tactics that put your domain at risk, and reporting you can check yourself.
- SEO and organic marketing compound over time. We recommend at least three months before judging results, because that is when the data becomes meaningful.
- Platform algorithm changes, policy changes, account suspensions and price changes are outside our control.
10. Work we do not take on
We do not provide political or election campaign services of any kind. We also reserve the right to decline or stop work that is illegal, misleading, or that we believe would cause harm — and we will tell you plainly why.
11. Third-party platforms
Your project will usually depend on services we do not own — hosting, payment gateways, Google and Meta ad platforms, analytics, SMS and email providers, plugins and APIs. Those come with their own terms, their own pricing and their own uptime. We integrate them carefully and we will flag the risks, but we are not responsible for their outages, policy changes, price rises or decisions about your account.
12. Confidentiality
Business information you share with us for a project stays confidential, and we use it only to do the work. The same applies in reverse to our quotations, technical approach and internal documents. This survives the end of the engagement. It does not apply to information that is already public, or that we are legally required to disclose.
13. Support and maintenance
Fixing something we built wrong is on us. Maintenance after launch — updates, backups, monitoring, small changes, new features — is a separate service, quoted separately. If you are not on a maintenance plan, we are happy to help on request, charged for the time it takes.
We are not responsible for problems caused by someone else changing the code, the hosting or the configuration after handover.
14. Ending an engagement
We do not lock clients into long contracts. Monthly services can be stopped with 30 days' notice in writing from either side, and the current month is payable in full. For project work, if you cancel mid-way, everything completed and in progress up to that point is payable.
On the way out you get what you have paid for: files, access and the accounts that belong to you. We do not hold a client's work hostage.
15. Limitation of liability
We will do our work with reasonable skill and care. To the extent the law allows, our total liability for any claim connected to an engagement is limited to the fees you paid us for the service that the claim relates to, in the three months before the claim arose.
We are not liable for indirect or consequential losses — lost profits, lost revenue, lost data, lost opportunities or business interruption. Nothing in these terms limits liability for fraud, or for anything that cannot be limited by law.
16. Using this website
The content of this website — text, design, code, graphics, our own product names such as ShikZya and EZPharmo, and the ZilFox name and logo — belongs to us. You may read it, share links to it and quote it with credit. You may not copy it wholesale, resell it, or present it as your own.
You agree not to attempt to break into, overload, scrape at scale, or interfere with this website or the chat assistant. Articles and guides here are general information, not professional advice for your specific situation.
17. Governing law
These terms are governed by the laws of Nepal, and the courts of Kathmandu have jurisdiction over any dispute. Before anyone goes near a court, both sides agree to try to resolve the matter directly — most things are a conversation, not a case.
18. Changes to these terms
We may update these terms as our services change. The version published here at the time you accept a quotation is the one that applies to that engagement, and the date at the top tells you when this page last changed.
